1. Agreement to Terms
By working with BRANDING-LY, you agree to follow these terms. If you don't agree, please don't use our services.
2. Our Services
BRANDING-LY provides:
Web design and development
Digital marketing services
Social media management
Branding and design work
Event management
Content creation
We keep the right to change, stop, or add services at any time.
3. Client Responsibilities
You agree to:
Give us correct information
Reply to our messages within 3 business days
Pay all bills on time
Own all content you give us
Check and approve all work we show you
You must not:
Share our private business details
Use our work for illegal activities
Copy or resell our services
4. Payment Terms
Project Payments:
50% deposit before work starts
50% balance when project finishes
Payment due within 7 days of invoice
Monthly Services:
Payment due at the start of each month
Services stop if payment is 7 days late
Late Payments:
5% fee added after 7 days
Work stops until payment clears
We may end the contract after 14 days
All prices are in Bangladesh Taka (BDT) or US Dollars (USD) as agreed.
5. Project Timeline
We will:
Give realistic time estimates
Update you on progress
Tell you about any delays
Please note:
Timelines can change if you ask for extra work
Late feedback from you may delay delivery
Outside factors (like hosting issues) can affect timing
6. Revisions and Changes
Included Revisions:
Web Design: 3 rounds of changes
Branding: 2 rounds of changes
Social Media Posts: 1 round of changes
Extra changes cost more. Major project changes need a new quote.
7. Ownership and Rights
Client Owns:
Final approved work after full payment
All custom designs made for you
Content you provided to us
BRANDING-LY Owns:
Our methods and processes
Template codes and frameworks
Our business knowledge
We Keep the Right to:
Show your project in our portfolio
Use it as a case study
Display it on our website
Tell us if you need a private agreement.
8. Content and Materials
You Promise:
You own or have rights to all content you give us
Your content doesn't break any laws
Images and text are legal to use
We're Not Responsible for:
Copyright issues with content you provide
Legal problems from your materials
Third-party content you ask us to use
9. Website Hosting and Maintenance
If We Host Your Site:
99.5% uptime goal (not guaranteed)
Regular backups included
Basic security updates covered
You're Responsible for:
Domain name registration
Email hosting (if separate)
Third-party plugins or tools
We don't promise your site will never go down. Internet issues happen.
10. Social Media and Marketing
Our Work Includes:
Creating and posting content
Managing your accounts
Running ad campaigns
You Understand:
We don't guarantee specific results
Platform rules can change
Your account stays yours
Ad spend is separate from our fees
11. Refund Policy
Deposits are non-refundable once work begins.
You May Get a Refund if:
We cancel the project
We can't deliver what we promised
Both sides agree to end the work
No Refunds for:
Change of mind
Completed work you don't like (but approved)
Delays caused by you
12. Project Cancellation
By You:
Tell us in writing
Pay for all work done so far
Deposit is not returned
By Us:
If you don't pay on time
If you break these terms
If you don't reply for 30 days
13. Confidentiality
We keep your business information private. We don't share:
Your business plans
Client lists
Private data
Login details
Unless the law requires it or you say it's okay.
14. Limitation of Liability
We're Not Liable for:
Lost profits or business
Data loss (we advise backups)
Third-party service failures
Force majeure events
Our Maximum Liability: The total amount you paid us for the specific project.
15. Third-Party Services
We may use:
Hosting providers
Stock photo sites
Marketing platforms
Payment processors
These services have their own terms. We're not responsible for their actions.
16. Warranty Disclaimer
We build quality work, but:
No guarantee of specific business results
No promise of exact rankings or traffic
No warranty that code is 100% bug-free
We fix any issues we find for 30 days after delivery.

Disputes settled in Dhaka courts
Both sides try mediation first
19. Force Majeure
We're not responsible for delays caused by:
Natural disasters
Government actions
Internet or power outages
Pandemics or health emergencies
Other events beyond our control
20. Changes to Terms
We may update these terms. Changes take effect when posted on our website. Big changes will be emailed to active clients.

21. Severability
If any part of these terms is found invalid, the rest still applies.
22. Entire Agreement
These terms are the complete agreement between you and BRANDING-LY. They replace any previous discussions or agreements.
